These Terms of Use (the “Terms”) constitute a legally binding agreement between you, the user of the Vigile Platform, and Vigile ("we," "us," or "our").
These Terms enter into force upon your acceptance, which occurs when you create an account, access your account for the first time on the Vigile Platform, or otherwise access and use our Service. These Terms will remain in full force and effect for as long as you are using our Service, unless terminated as set forth herein.

1. Definitions

• "Breach Intelligence Data" or "Content" refers to any data, material, or content made available to you through the Vigile Platform. This includes, but is not limited to, compromised email addresses, passwords, URLs, structured malware logs, employee credentials exposed in data leaks, and any other intelligence data sourced from our third-party providers.
• "Confidential Information" means any non-public information, including all computer programs, source code, algorithms, know-how, technical data, business plans, and financial information that should reasonably be understood to be confidential. The Breach Intelligence Data is considered Vigile's Confidential Information.
• "Intellectual Property (IP)" means all intellectual property rights, including copyrights, patents, trademarks, trade secrets, know-how, and any other proprietary rights under any statutory or common law.
• "Losses" means any and all claims, damages, fines, penalties, costs, and expenses, including reasonable attorney’s fees.
• "Permitted Purposes" means using the Service exclusively for internal cybersecurity assessments, identifying compromised employee accounts, evaluating breach impact, conducting internal forensic investigations, and enhancing the overall security posture of your organization.
• "Service" means the access to and use of the Vigile Platform, along with any application programming interfaces (“API”), software, technologies, documentation, and the Breach Intelligence Data made available to you through an authorized account.
• "Vigile Platform" means the web application and underlying infrastructure provided by Vigile that delivers the Service.

2. Eligibility and Account Responsibility

To use the Service, you must be at least 18 years old. If you are using the Service on behalf of a company or other legal entity, you represent and warrant that you have the legal authority to bind that entity to these Terms. You must have lawful ownership or explicit administrative rights over any domain you register and verify within the Vigile Platform. We reserve the right to request proof of ownership or authority at any time. You are solely responsible for maintaining the confidentiality of your account credentials and may not share them with any third party. You must notify us immediately of any suspected or actual unauthorized use of your account.

3. Access and Use of Breach Intelligence Data

The Vigile Platform provides access to sensitive Breach Intelligence Data. You acknowledge and agree that this Data may contain malicious code, personally identifiable information (PII), and other potentially harmful content. It is not sanitized by Vigile.

WARNING: ACCESSING AND HANDLING DATA CONCERNING INDIVIDUALS OR SYSTEMS WITHOUT PROPER AUTHORIZATION MAY CARRY SIGNIFICANT LEGAL AND ETHICAL RISKS, INCLUDING POTENTIAL CRIMINAL AND CIVIL LIABILITY. YOU AGREE THAT YOU ARE USING THIS FUNCTIONALITY AT YOUR OWN SOLE RISK. NEITHER VIGILE NOR ITS REPRESENTATIVES WILL BE LIABLE FOR ANY LOSSES RESULTING FROM YOUR ACCESS TO OR USE OF THE BREACH INTELLIGENCE DATA.

4. Data Sourcing and Processing

You acknowledge and agree that Vigile is a platform that aggregates and presents data from external sources.
• Third-Party Sources: The Breach Intelligence Data is fetched from reputable third-party providers, data brokers, and publicly available sources. Vigile does not generate, create, author, or own the underlying Breach Intelligence Data itself.
• No Independent Verification: We do not independently verify, control, or endorse the accuracy, completeness, or legality of the data provided by these third parties. The data is presented to you "as is" from its original source. Consequently, Vigile bears no responsibility for the content of the Breach Intelligence Data.

5. Acceptable Use Policy

You agree not to use the Service in any manner that:
• Is prohibited by any applicable law, regulation, or governmental order.
• Involves the public disclosure, sale, resale, or any other form of commercialization of the Breach Intelligence Data.
• Is intended to harm, threaten, defame, or harass any person or entity.
• Attempts to disrupt, overload, or impair the functionality of the Service.
• Involves reverse-engineering, decompiling, or otherwise attempting to discover the source code of the Vigile Platform.
• Uses automated methods like web scraping to extract data, other than through official APIs.
• Uses the Breach Intelligence Data for any purpose other than the strictly defined Permitted Purposes.

6. Intellectual Property Rights

The Service, Vigile Platform, and all underlying technology are the exclusive IP of Vigile. Except for the limited right to use the Service as described in these Terms, we grant you no other rights to our IP. Should you provide any feedback, ideas, or suggestions (“Feedback”), you grant Vigile a perpetual, irrevocable, worldwide, royalty-free license to use and commercialize such Feedback without any compensation to you.

7. Confidentiality

You agree to treat all non-public information obtained through the Service, including the Breach Intelligence Data, as Confidential Information. You shall not disclose this Confidential Information to any third party without our prior written consent, nor use it for any purpose other than the Permitted Purposes. You agree not to use our Confidential Information to develop a competing product or service.

8. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, VIGILE DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AS STATED IN SECTION 4, VIGILE IS NOT THE ORIGINATOR OF THE BREACH INTELLIGENCE DATA AND THEREFORE CANNOT AND DOES NOT WARRANT ITS ACCURACY, RELIABILITY, OR COMPLETENESS. VIGILE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. THE SERVICE IS AN INFORMATIONAL TOOL AND SHOULD NOT BE CONSTRUED AS LEGAL, FINANCIAL, OR PROFESSIONAL ADVICE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIGILE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, DATA LOSS, OR REPUTATIONAL HARM) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE OR ANY BREACH INTELLIGENCE DATA.

10. Indemnification

You agree to defend, indemnify, and hold harmless Vigile, its subsidiaries, officers, employees, and agents from and against any and all Losses arising from or in any way connected with:
(a) your access to or use of the Service;
(b) your violation of these Terms;
(c) your violation of any applicable laws; or
(d) your misuse or unlawful handling of the Breach Intelligence Data.

11. Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion, with or without notice, if we have a reasonable belief that you have violated these Terms, engaged in unlawful behavior, or compromised the integrity of the Vigile Platform. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive.

12. Fees, Payments, and Refunds

• Fees: You agree to pay all applicable fees for the Service as described on our pricing page or in a separate agreement. All fees are quoted in U.S. Dollars and are due in advance of the service period.
• Refund Policy: All fees are non-refundable.

13. Changes to the Terms

We may revise these Terms from time to time. We will provide you with at least fifteen (15) days' notice of any material changes via email or a platform notification. Your continued use of the Service after the effective date of the revised Terms will constitute your acceptance of the changes.

14. Governing Law and Jurisdiction

These Terms and any dispute arising out of them shall be governed by and construed in accordance with the laws of USA, without regard to its conflict of law principles. The parties irrevocably agree that the competent courts in USA, shall have exclusive jurisdiction to settle any dispute or claim arising from these Terms.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Vigile regarding your use of the Service.
• Waiver: No failure or delay by Vigile in exercising any right under these Terms shall constitute a waiver of that right.
• Severability: If any provision of these Terms is held to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms at any time without notice.
